LedgerProp Terms of Service
Effective Date: February 20, 2026
1. Acceptance of Terms
By accessing or using LedgerProp (“Company,” “we,” “us,” or “our”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. Description of Service
LedgerProp is a cloud-based property documentation and analytics platform that enables users to log repairs, store documents, analyze maintenance data, and export reports.
LedgerProp is NOT:
- A property management company
- A contractor or licensed professional
- A law firm
- An accounting firm
- An insurance provider
You remain solely responsible for property decisions, contractor selection, financial decisions, and compliance obligations.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements.
4. Accounts & Security
You agree to:
- Provide accurate information
- Maintain credential confidentiality
- Accept responsibility for activity under your account
We are not liable for unauthorized access due to your failure to secure credentials.
5. Organizations & Multi‑Tenant Use
Accounts may operate under organizational structures with role-based permissions. Organization owners are responsible for:
- Managing member access
- Removing former members
- Ensuring appropriate data visibility
We are not responsible for misconfigured permissions or internal misuse.
6. Subscription, Billing & Refunds
Paid plans renew automatically unless canceled.
- Payments processed via Stripe
- You authorize recurring charges
- Fees are non-refundable except where required by law
- We may change pricing with notice
Failure to pay may result in suspension.
7. AI & Document Processing
Certain features use AI services (e.g., Azure Document Intelligence) to extract invoice data.
You acknowledge:
- Extracted data may contain inaccuracies
- You are responsible for verification
- Usage may be rate-limited
- We are not liable for errors in AI output
8. User Content & License
You retain ownership of uploaded content.
You grant LedgerProp a limited license to:
- Store
- Process
- Analyze
- Display
Content is used solely to provide platform functionality.
You represent you have lawful rights to upload content.
9. Acceptable Use
You agree not to:
- Use the Service unlawfully
- Upload malware
- Attempt reverse engineering
- Circumvent subscription limits
- Access other users' data
- Use automated scraping tools
We may suspend accounts for violations.
10. Beta Features
We may release experimental features labeled “beta.” These may change or be removed without notice and are provided without warranty.
11. Data Retention & Deletion
We retain data while your account is active. Upon deletion:
- Active data may be removed within a reasonable timeframe
- Backups may persist temporarily
- We are not obligated to retain deleted data
12. Data Portability
You may export data (PDF/CSV) during active subscription. We are not responsible for backup after cancellation.
13. Intellectual Property
All platform software, branding, and materials are owned by LedgerProp. You may not copy, resell, or modify without permission.
14. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.”
We disclaim:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy of AI outputs
- Continuous uptime
15. Limitation of Liability
To the maximum extent permitted by law:
LedgerProp is not liable for:
- Indirect or consequential damages
- Lost profits
- Property damage
- Contractor disputes
- Warranty losses
Total liability shall not exceed fees paid in the previous 12 months.
16. Indemnification
You agree to indemnify LedgerProp against claims arising from:
- Your content
- Your misuse of the Service
- Your violation of these Terms
17. Arbitration & Dispute Resolution
Any dispute shall be resolved through binding arbitration in Arizona, except for claims eligible for small claims court.
You waive the right to class actions.
18. Force Majeure
We are not liable for failure due to events beyond reasonable control including natural disasters, service outages, or third-party failures.
19. Governing Law
These Terms are governed by Arizona law.
20. Modifications
We may update these Terms at any time. Continued use constitutes acceptance.
